Agreement to Terms
By accessing or using the DeanDesk platform ("Service"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms apply to all users of the Service, including students, instructors, administrators, and visitors.
Description of Service
DeanDesk is a comprehensive Student Information System (SIS) and Learning Management System (LMS) platform designed for educational institutions. The Service provides tools for:
- Student enrollment and record management
- Course creation and management
- Assignment submission and grading
- Communication between students, instructors, and administrators
- Payment processing for tuition and fees
- Academic progress tracking and reporting
- Document storage and sharing
User Accounts
Account Creation
To access most features of the Service, you must have an account created by your educational institution. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized use
- Ensuring your account information is accurate and up-to-date
Account Eligibility
You must be at least 13 years old to use the Service. If you are under 18, you represent that you have your parent or guardian's permission to use the Service.
Account Termination
We reserve the right to suspend or terminate your account if you violate these Terms or engage in conduct that we determine to be harmful to other users, the Service, or third parties.
Acceptable Use
You Agree Not To:
- Violate any applicable laws or regulations
- Infringe on the rights of others, including intellectual property rights
- Harass, threaten, or intimidate other users
- Upload or transmit viruses, malware, or other malicious code
- Attempt to gain unauthorized access to the Service or other users' accounts
- Use the Service for any illegal or unauthorized purpose
- Scrape, spider, or use automated means to access the Service
- Interfere with or disrupt the Service or servers
- Impersonate any person or entity
- Submit false or misleading information
- Use the Service to distribute spam or unsolicited messages
Academic Integrity
You agree to maintain academic integrity and comply with your institution's academic honesty policies. This includes but is not limited to:
- Submitting only your own original work
- Properly citing sources and giving credit where due
- Not sharing assignment answers or test information
- Not using unauthorized aids during assessments
Intellectual Property
DeanDesk's Rights
The Service, including its software, design, text, graphics, logos, and other content (excluding User Content), is owned by DeanDesk and is protected by copyright, trademark, and other intellectual property laws.
User Content
You retain ownership of any content you submit, post, or upload to the Service ("User Content"). By submitting User Content, you grant DeanDesk a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display your User Content solely for the purpose of providing and improving the Service.
Institutional Content
Educational institutions retain ownership of course materials, syllabi, and other content created by their instructors and staff. This content is licensed to students for educational purposes only.
Prohibited Content
You may not post User Content that:
- Is illegal, harmful, or violates the rights of others
- Contains malware or other harmful code
- Infringes on intellectual property rights
- Is defamatory, obscene, or offensive
- Violates privacy or publicity rights
Payment Terms
Tuition and Fees
If your institution uses DeanDesk for payment processing, you agree to pay all tuition, fees, and other charges as specified by your institution. Payment processing is handled securely through Stripe.
Refund Policy
Refund policies are determined by your educational institution, not by DeanDesk. Please contact your institution for information about refunds and payment disputes.
Payment Methods
We accept credit cards, debit cards, and ACH bank transfers through Stripe. You authorize us to charge your payment method for all fees and charges you incur.
Failed Payments
If a payment fails, your institution may restrict your access to certain features until payment is received. You are responsible for any fees or charges associated with failed payments.
Educational Records and Privacy
DeanDesk complies with the Family Educational Rights and Privacy Act (FERPA) and other applicable privacy laws. For detailed information about how we collect, use, and protect your information, please review our Privacy Policy.
FERPA Rights
Eligible students and parents have the right to:
- Inspect and review educational records
- Request amendment of inaccurate records
- Consent to disclosures of personally identifiable information
- File complaints concerning alleged failures to comply with FERPA
Service Availability
Uptime and Maintenance
We strive to maintain high availability of the Service, but we do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:
- Scheduled maintenance
- Emergency repairs
- Technical difficulties
- Factors beyond our control
Service Modifications
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We will not be liable for any modification, suspension, or discontinuation of the Service.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
Educational Content
DeanDesk does not endorse, warrant, or guarantee the accuracy, completeness, or quality of any educational content provided through the Service. Educational institutions are solely responsible for the content they provide.
Third-Party Services
The Service may contain links to third-party websites or services. We are not responsible for the content, privacy practices, or terms of use of any third-party sites.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DEANDESK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
- Your use or inability to use the Service
- Any unauthorized access to or use of our servers or your personal information
- Any interruption or cessation of transmission to or from the Service
- Any bugs, viruses, or other harmful code transmitted through the Service
- Any errors or omissions in any content or loss or damage incurred as a result of your use of any content
- The conduct or content of any third party on the Service
IN NO EVENT SHALL DEANDESK'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR ACCESSING THE SERVICE DURING THE TWELVE MONTHS PRECEDING THE DATE OF THE CLAIM.
Indemnification
You agree to indemnify, defend, and hold harmless DeanDesk, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorney's fees, arising out of or in any way connected with:
- Your access to or use of the Service
- Your violation of these Terms
- Your violation of any rights of another party
- Your User Content
Dispute Resolution
Informal Resolution
Before filing a claim, you agree to try to resolve the dispute informally by contacting us at admin@ummahspot.com. We'll try to resolve the dispute informally by contacting you via email.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.
Arbitration
Any dispute arising from these Terms or the Service will be resolved through binding arbitration in accordance with the American Arbitration Association's rules, except as otherwise provided herein.
Changes to Terms
We may modify these Terms at any time. We will notify you of material changes by:
- Posting the updated Terms on the Service
- Sending an email notification to your registered email address
- Displaying a notice when you log in
Your continued use of the Service after changes are posted constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service.
Termination
You may stop using the Service at any time. Your institution may also terminate your access to the Service at any time for any reason.
We may terminate or suspend your access immediately, without prior notice or liability, for any reason, including if you breach these Terms.
Upon termination, your right to use the Service will immediately cease. Sections of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
General Provisions
Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and DeanDesk regarding the Service.
Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
Waiver
Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
Assignment
You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign our rights under these Terms without restriction.
